Terms and conditions regarding CV circulation

1. In the event that Xtra IT Resources Ltd (“Xtra”) shall send a CV to a client for consideration and that client fails to enter into a contract subsequently with Xtra in connection with the placement of that consultant but nonetheless whether by itself, an associated company or subsidiary and whether directly or indirectly and whether under a contract for service or for services or in partnership or under a licence or franchise agreement (including the re-introduction by, or use through another employment agency or consultancy) that client utilises the services of the consultant in respect of whom Xtra have supplied a CV, then that client shall be liable to Xtra to pay Xtra a fee equating to the sum it would have received should the client have entered into a formal contract with Xtra for the supply of that consultant.
   
   
2. Insofar as any dispute shall arise regarding the operation of this provision, then that dispute shall be subject to the jurisdiction of the Courts of England and Wales and shall be construed by reference to the laws of England and Wales except that Xtra may invoke the jurisdiction of the Courts of any other country.
